Terms and Conditions
I. Allgemeines – Geltungsbereich I. General – Area of Validity
1. Die folgenden Allgemeinen Geschäftsbedingungen gelten für alle Geschäftsbeziehungen zwischen uns und dem Kunden. Maßgeblich ist jeweils die zum Zeitpunkt des Vertragsschlusses gültige Fassung. 1. The following General Terms & Conditions apply to all business relationships between us and the customer. The version applicable at the time of the conclusion of contract is authoritative.
2. Verbraucher im Sinne dieser Geschäftsbedingungen sind natürliche Personen, mit denen in Geschäftsbeziehung getreten wird, ohne dass diesen eine gewerbliche, oder selbstständige berufliche Tätigkeit zugerechnet werden kann.
Unternehmer im Sinne dieser Geschäftsbedingungen sind natürliche oder juristische Personen oder rechtsfähige Personengesellschaften, mit denen in Geschäftsbeziehung getreten wird und die in Ausübung ihrer gewerblichen oder selbstständigen Tätigkeit handeln.
Kunde im Sinne dieser Geschäftsbedingungen sind sowohl Verbraucher als auch Unternehmer.		 2. Consumers in the sense of these Terms & Conditions are individuals with whom a business relationship exists, even though no commercial or independent professional activity can be attributed to them.
Commercial operators in the sense of these Terms & Conditions are individuals or legal entities or business partnerships with whom a business relationship exists and who are conducting their commercial or independent activities as part of that relationship.
Customers in the sense of these Terms & Conditions are both consumers and commercial operators.
3. Verkäufe, Lieferungen und Leistungen erfolgen ausschließlich nach Maßgabe der folgenden Allgemeinen Verkaufs- und Lieferbedingen, welche der Besteller durch die Erteilung des Auftrages oder der Entgegennahme der Lieferung anerkennt. Diese Allgemeinen Verkaufsbedingungen gelten für alle, auch zukünftige Verträge und sonstige Leistungen. Abweichende, entgegenstehende oder ergänzende Allgemeine Geschäftsbedingungen werden, selbst bei Kenntnis nicht Vertragsbestandteil sein, es sei denn, ihrer Geltung wird ausdrücklich schriftlich zugestimmt. Diese Lieferbedingungen gelten gleichermaßen für alle Arten von Geschäften, einschließlich des „Online Trading“, also Bestellungen über das Internet, es sei denn, dass im Einzelfall besondere Regelungen nur für Online Trading vorgesehen sind. 3. Sales, deliveries and services are effected exclusively in accordance with the following General Terms & Conditions of Sale & Delivery, which the buyer acknowledges by placing the order or accepting the delivery. These General Terms & Conditions of Sale apply to all contracts and other services, including in the future. Deviating, contradictory or supplementary General Terms & Conditions do not constitute part of the contract, even with knowledge thereof, unless their validity has been explicitly agreed in writing. These Terms & Conditions of Delivery apply likewise to all types of transactions, including online trading, i.e. orders placed on the Internet, unless special regulations exist solely for online trading in the individual case in question.
4. Unsere Angebote sind freibleibend, Vereinbarungen, insbesondere mündliche Nebenabrede und Zusicherungen auch unserer Verkaufsangestellten, werden erst durch unsere schriftliche Bestätigung verbindlich. Die im Katalog oder im Falle des Online Trading auf der Webpage dargestellten Waren und Produkte von ProLux stellen keine bindenden Angebote dar. Ein bindendes Vertragsangebot wird jeweils vom Besteller aufgrund seiner Bestellung abgegeben; beim Online Trading geschieht dies mittels Betätigung des Bestellbuttons. Ein Vertrag kommt erst durch eine schriftliche Auftragsbestätigung, oder durch die Lieferung der Liefergegenstände, zustande und richtet sich ausschließlich nach dem Inhalt der Auftragsbestätigung und diesen Lieferbedingungen. 4. Our offers are subject to change; agreements, particularly verbal supplementary agreements and promises, even on the part of our sales agents, are not binding until we have confirmed them in writing. ProLux's goods and products in the catalogue, and on the website in the case of online trading, do not represent a binding offer of any kind. A binding contract offer is made by the buyer when the order is placed; with online trading this occurs when the “Order” button is pressed. A contract exists once the order has been confirmed in writing, or the goods have been delivered; said contract is governed exclusively by the content of the order confirmation and these Terms & Conditions of Delivery.
5. Die zum Angebot gehörenden Unterlagen wie Zeichnungen, Abbildungen, technische Daten, Bezugnahme auf Normen sowie Angaben in Werbemitteln sind keine Eigenschaftszusicherungen, soweit sie nicht ausdrücklich und schriftlich als solche bezeichnet sind. 5. The documents that make up the offer, such as drawings, illustrations, technical data, reference to standards, and details in advertising materials do not constitute a guarantee of characteristics, unless they are explicitly described as such in writing.
6. Abweichungen des Liefergegenstands von Angeboten, Mustern, Proben- und Vorlieferungen sind nach Maßgabe der jeweils gültigen DIN-Normen oder anderen einschlägiger technischer Norm zugelassen. 6. Any deviation in the goods from offers, samples, test and pre-deliveries is permissible in accordance with the applicable valid DIN standards or other relevant technical standards.
7.Unser Angebot richtet sich an Gewerbetreibende und Wiederverkäufer, deshalb sind die dargestellten Preise Nettopreise und verstehen sich zuzüglich der gesetzlichen Mehrwertsteuer.
Im Falle eines Kaufs durch einen Privatkunden gelten die genannten Preise zuzüglich MwSt. sowie das vierzehntägige Widerrufsrecht / das gesetzlich geregelte Widerrufsrecht.		 7. Our offer is aimed at commercial traders and resellers and, as a result, the prices shown are net and do not include the applicable VAT. In the case of a purchase by a private customer, the prices stated are plus VAT and are also subject to the fourteen-day right of withdrawal / the statutory right of withdrawal.
   
II. Preise II. Prices
1. Haben sich die Vertragsparteien nicht auf einen bestimmten Preis geeinigt, so bestimmt sich der Preis nach der zum Zeitpunkt des Vertragsabschlusses gültigen Preisliste. 1. If the contracting parties have not agreed a specific price, the price is determined by the price list valid at the time the contract is concluded.
2. Unsere Preise verstehen sich, soweit nichts anderes vereinbart, ab unserem Betrieb ausschließlich Verpackung, jeweils zuzüglich Mehrwertsteuer und etwaiger Zölle. 2. Our prices, unless otherwise agreed, are ex works excluding packaging, plus VAT and any customs duties.
   
III. Zahlung und Verrechnung III. Payment and Settlement
1. ProLux ist berechtigt, für Teillieferungen Teilrechnungen zu stellen. 1. ProLux is entitled to submit partial invoices for partial deliveries.
2. Falls keine anderen Zahlungsbedingungen vereinbart sind, sind unsere Rechnungen zahlbar innerhalb 10 Tagen rein netto, jeweils ab Rechnungsdatum, Rechnungen über Beträge unter 100,- Euro sowie für Montage, Reparaturen, Formen und Werkzeugkostenteile sind jeweils sofort fällig und netto zahlbar. Zahlungen innerhalb dieser Fristen haben so zu erfolgen, dass uns der für den Rechnungsausgleich erforderliche Betrag spätestens am Fälligkeitstermin zur Verfügung steht und sind grundsätzlich frei Zahlstelle von ProLux zu leisten. 2. If no other payment conditions have been agreed, our invoices are to be paid net within ten days of the date of invoice in each case. Invoices for amounts below 100 euros, as well as those for assembly, repairs, moulds and tooling costs are to be paid immediately in each case and net. Payments within these periods must be made so as to ensure that we have received payment of the sum required to settle the invoice at the latest on the due date, and without any charges required on the part of ProLux.
3. Von uns bestrittene oder rechtskräftig festgestellte Gegenforderungen berechtigen den Käufer weder zur Zurückbehaltung noch zur Aufrechnung. 3. Any disputed or legally established counter claims on our part do not entitle the buyer to any right of retention or offsetting.
4. Bei Überschreiten des Zahlungszieles, spätestens nach Mahnung, sind wir berechtigt, Zinsen in Höhe der jeweiligen Banksätze für Überziehungskredit zu berechnen, mindestens aber Zinsen in Höhe von 3% über dem Diskontsatz der Deutschen Bundesbank. Die Geltendmachung eines weiteren Verzugsschadens bleibt vorbehalten. 4. If the payment deadline is missed, at the latest after a reminder has been sent, we are entitled to charge interest in the amount of the applicable bank rate for overdrafts, but at least in the amount of 3% above the discount rate of the German Bundesbank (central bank). We reserve the right to impose further delay penalties.
5. Wird ProLux nach dem Vertragsabschluß die Gefahr mangelnder Leistungsfähigkeit des Bestellers erkennbar, ist ProLux berechtigt, noch ausstehende Lieferungen nur gegen Vorauszahlung oder Sicherheitsleistung auszuführen. Sind die Vorauszahlungen oder Sicherheitsleistungen auch nach Ablauf einer angemessenen Nachfrist nicht erbracht, so kann ProLux von einzelnen oder allen der betroffenen Verträge jeweils ganz oder teilweise zurücktreten. Die Geltendmachung weiterer Rechte bleibt ProLux unbenommen. Gerät der Käufer in Zahlungsverzug, so sind wir berechtigt, die Ware nach Setzung einer angemessenen Nachfrist zurückzunehmen. Wir können außerdem die Weiterveräußerung und Weiterverarbeitung der gelieferten Ware untersagen. Die Rücknahme ist kein Rücktritt vom Vertrag. In jedem Fall können wir die Einziehungsermächtigung gemäß. Ziff. V/5 widerrufen und für noch ausstehende Lieferungen, Vorauszahlungen oder Sicherheiten verlangen. Alle diese Rechtsfolgen kann der Käufer durch Zahlung oder durch Sicherheitsleistungen in Höhe unseres gefährdeten Zahlungsanspruches abwenden. 5. If ProLux becomes aware after the contract has been concluded that the buyer may not be able to uphold the contract, ProLux is entitled to withhold future deliveries until payment has been made in advance or a deposit has been paid. If advance payments or deposits are not received, even after a reasonable grace period, ProLux may withdraw from individual or all affected contracts either wholly or in part. This does not affect ProLux's right to exercise further rights. If the buyer defaults on payment ProLux is entitled to take back the goods after a reasonable period of grace. ProLux is also entitled to prohibit the resale and processing of the delivered goods. Taking back the goods does not constitute a withdrawal from the contract. In each case ProLux may revoke the direct debit authorisation in accordance with point V/5 and demand advance payments or deposits for outstanding deliveries. The buyer may avoid all these legal consequences through payment of an amount or a deposit equivalent to the value of ProLux's endangered payment claim.
   
IV. Lieferfristen IV. Delivery Periods
1. Liefer- und Leistungsfristen sind nur verbindlich, wenn sie von ProLux schriftlich bestätigt worden sind. 1. Delivery and performance periods are only binding once they have been confirmed in writing by ProLux.
2. Lieferfristen und -termine sind eingehalten, wenn bis zu ihrem Ablauf der Liefergegenstand unseren Betrieb verlassen hat. 2. Delivery periods and dates are deemed to have been achieved if the goods have left our site before such a period or date has lapsed.
3. Lieferfristen verlängern sich in angemessenem Umfang bei Maßnahmen im Rahmen von Arbeitskämpfen, insbesondere Streik und Aussperrung sowie bei Eintritt unvorhersehbarer Hindernisse, die außerhalb unseres Willens liegen, soweit solche Hindernisse nachweislich auf die Fertigung oder Ablieferung des Liefergegenstandes von erheblichem Einfluss sind. Dies gilt auch, wenn die Umstände bei Vorlieferanten eintreten. Derartige Umstände teilen wir dem Käufer unverzüglich mit. Diese Regelungen gelten entsprechend für Liefertermine. Wird die Durchführung des Vertrages für einen der Partner unzumutbar, so kann er insoweit vom Vertrag zurücktreten. 3. Delivery periods may be extended for a reasonable length of time in the event of industrial disputes, particularly strikes and lockouts, or in the event of unforeseeable obstacles beyond our control, providing such obstacles demonstrably have a significant impact on the production or supply of the goods. This also applies if the circumstances in question have arisen at our suppliers. We will inform the buyer immediately in the event of such circumstances. These rules apply accordingly to delivery deadlines. A contracting party may withdraw from the contract if fulfilment of the contract becomes unreasonable.
4. Falls ProLux in Verzug gerät, kann der Käufer nach Ablauf einer gesetzten, angemessenen Nachfrist insoweit vom Vertrag zurücktreten, als die Ware bis zum Fristablauf nicht abgesandt ist. Erwächst dem Käufer wegen einer Verzögerung, die in Folge unseres Verschuldens entstanden ist, ein Schaden, so ist er unter Ausschluss weiterer Ansprüche berechtigt, eine Verzugsentschädigung in Höhe von 1/2 v.H. für jede volle Woche der Verspätung, im ganzen aber höchstens 5 v.H. desjenigen Teils der Gesamtlieferung zu fordern, der infolge der Verspätung nicht rechtzeitig oder nicht vertragsgemäß benutzt werden kann. Die Einschränkung gilt nicht, soweit wir in Fällen des Vorsatzes oder der groben Fahrlässigkeit zwingend haften. 4. If ProLux defaults, the buyer may withdraw from the contract after allowing for a reasonable period of grace if the goods have not been despatched by the end of the grace period. If the buyer incurs damages because of a delay for which ProLux is culpable, the buyer is then entitled to demand a penalty payment in the amount of 1/2 % for each full week of delay, but at the most 5 % of the part of the whole delivery that cannot be used at the right time or not in accordance with the contract because of the delay. This restriction does not apply if we are liable in cases of wilful intent or gross negligence.
5. Kommt der Besteller in Annahmeverzug oder verletzt er sonstige Mitwirkungspflichten wie z.B. den rechtzeitigen Abruf der Liefergegenstände, so sind wir berechtigt, die Liefergegenstände auf Gefahr und Kosten des Bestellers angemessen einzulagern. ProLux ist unbeschadet ihrer sonstigen Rechte (auch auf Schadenersatz) zum Rücktritt vom Vertrag berechtigt, wenn eine dem Besteller gesetzte angemessene Nachfrist zur Annahme der Lieferung erfolglos verstrichen ist. 5. If the buyer defaults on acceptance or infringes other obligations, such as timely demand for the goods, we are entitled to store the goods in a reasonable manner at the buyer's risk and cost. ProLux is entitled to withdraw from the contract, with no negative impact on its other rights (including to compensation), if the buyer has still not accepted the goods despite an additional reasonable period of grace.
   
V. Eigentumsvorbehalt V. Retention of Title
1. Bei Verbrauchern behalten wir uns das Eigentum an der Ware bis zur vollständigen Bezahlung des Kaufpreises vor.
Bei Unternehmen behalten wir uns das Eigentum an der Ware bis zur vollständigen Begleichung aller Forderungen aus einer laufenden Geschäftsbeziehung vor. Wenn der Wert der Vorbehaltsware die zu sichernden Forderungen aus der laufenden Geschäftsbeziehung um 10 Prozent übersteigt, sind wir zur Freigabe der Vorbehaltsware auf Verlangen des Unternehmers verpflichtet.		 1. With consumers we retain the title to the goods until the purchase price has been paid in full. With commercial operators we retain the title to the goods until full settlement of all claims arising from an ongoing business relationship. If the value of the reserved goods exceeds the claims arising from the ongoing business relationship by 10 percent, we are obligated to release the reserved goods at the commercial operator's request.
2. Der Kunde ist verpflichtet, die Ware während des Bestehens des Eigentumsvorbehalts pfleglich zu behandeln. Sofern Wartungs- und Inspektionsarbeiten erforderlich sind, hat der Kunde diese auf eigene Kosten regelmäßig durchzuführen.
Der Kunde hat uns unverzüglich schriftlich zu unterrichten von allen Zugriffen Dritter auf die Ware, insbesondere von Zwangsvollstreckungsmaßnahmen, sowie von etwaigen Beschädigungen oder der Vernichtung der Ware. Einen Besitzwechsel der Ware sowie den eigenen Anschriftenwechsel hat uns der Kunde unverzüglich anzuzeigen.
Der Kunde hat uns alle Schäden und Kosten zu ersetzen, die durch einen Verstoß gegen diese Verpflichtungen und durch erforderliche Interventionsmaßnahmen gegen Zugriffe Dritter auf die Ware entstehen.		 2. The customer is obligated to handle the goods with care while ProLux retains the title. If maintenance and inspection works are required, customers must implement the same regularly and at their own cost. The customer is obligated to inform us immediately in writing of any third-party claims to the goods, particularly of compulsory enforcement measures, as well as of any damage to or destruction of the goods. The buyer must inform us immediately of any change in the possession of the goods or they change their address. The customer shall reimburse us for all damages and costs arising from an infringement of these obligations and from necessary intervention measures with regard to third-party access to the goods.
3. Wir sind berechtigt bei vertragswidrigem Verhalten des Kunden, insbesondere bei Zahlungsverzug, vom Vertrag zurückzutreten und die Ware herauszuverlangen. Daneben sind wir berechtigt, bei Verletzung einer Pflicht nach Ziffer 2 vom Vertrag zurückzutreten und die Ware herauszuverlangen, wenn uns ein Festhalten am Vertrag nicht mehr zuzumuten ist. 3. We are entitled to withdraw from the contract and to demand return of the goods if the customer is in breach of the contract. Moreover, we are entitled to withdraw from the contract and demand return of the goods if the customer has breached an obligation under point 2, if it is no longer reasonable for us to maintain the contract.
4. Der Unternehmer ist berechtigt, die Ware im ordentlichen Geschäftsgang weiterzuveräußern. Er tritt uns bereits jetzt alle Forderungen in Höhe des Rechnungsbetrages ab, die ihm durch die Weiterveräußerung gegen einen Dritten erwachsen. Wir nehmen die Abtretung an. Nach der Abtretung ist der Unternehmer zur Einziehung der Forderung ermächtigt. Wir behalten uns vor, die Forderung selbst einzuziehen, sobald der Unternehmer seinen Zahlungsverpflichtungen nicht ordnungsgemäß nachkommt und in Zahlungsverzug gerät.
Die Be- und Verarbeitung der Ware durch den Unternehmer erfolgt stets im Namen und Auftrag für uns. Erfolgt eine Verarbeitung der Ware, so erwerben wir an der neuen Sache das Miteigentum im Verhältnis zum Wert der von uns gelieferten Ware. Dasselbe gilt, wenn die Ware mit anderen, uns nicht gehörenden Gegenständen verarbeitet oder vermischt wird.		 4. The commercial operator is entitled to resell the goods in the course of its normal business operations. The commercial operator shall transfer to us all claims equivalent to the invoiced amount that have been accrued from the resale. We accept the transfer. The commercial operator is authorised to collect the claim following the transfer. We reserve the right to collect the claim ourselves if the commercial operator is not meeting its payment obligations properly and has defaulted on payment.
Any processing or conversion of the goods by the commercial operator is always effected in our name and on our behalf. If the goods are converted we acquire co-ownership of the new object at a level equivalent to the value of the goods we supplied. The same applies if the goods are converted or mixed with other objects that do not belong to us.
   
VI. Ausführung der Lieferungen VI. Scheduling Deliveries
1. Mit der Übergabe des Materials an einen Spediteur, Frachtführer oder den Besteller selber, spätestens jedoch mit Verlassen des Lagers oder - bei Streckengeschäften - des Lieferwerkes geht die Gefahr bei allen Geschäften auf den Käufer über. Verzögern sich die Übergabe oder Versendung aus von dem Besteller zu vertretenden Gründen, so geht die Gefahr am Tage der Mitteilung der Versandbereitschaft des Liefergegenstandes auf den Besteller über. 1. The risk for all transactions passes to the buyer once the materials have been passed to the carrier, haulier or the buyer, but at the latest when the goods leave the warehouse or – in the event of direct sales – the supplier's premises. If handover or despatch is delayed and the buyer is responsible for this, the risk passes to the buyer on the day the buyer was informed that the goods were ready to be despatched.
2. Wir sind zu Teillieferungen in zumutbarem Umfang berechtigt. Bei Anfertigungsware sind Mehr- und Minderlieferungen bis zu 10 % der abgeschlossenen Menge zulässig. 2. ProLux is entitled to make partial deliveries of reasonable amounts. Excess or short deliveries up to 10 % of the agreed volume shall be permitted for non-stock items.
3. Bei Abrufaufträgen sind wir berechtigt, die gesamte Bestellmenge geschlossen herzustellen bzw. herstellen zu lassen. Etwaige Änderungswünsche können nach Erteilung des Auftrages nicht mehr berücksichtigt werden, es sei denn, dass dies ausdrücklich vereinbart wurde. Abruftermine und -mengen können, soweit keine festen Vereinbarungen getroffen wurden, nur im Rahmen unserer Lieferung- oder Herstellungsmöglichkeiten eingehalten werden. 3. In the case of make-and-hold orders, we are entitled to manufacture or have manufactured as one batch the entire volume ordered. Any modification requests cannot be considered once an order has been placed, unless this has explicitly been agreed. Make-and-hold deadlines and volumes can only be observed, providing no fixed agreements have been made, within the scope of our delivery or manufacturing options.
   
VII. Haftung für Mängel VII. Liability for Defects
1. Der Käufer hat die Ware nach Anlieferung unverzüglich zu prüfen und Mängel, spätestens innerhalb von 8 Tagen, schriftlich mitzuteilen. Falschlieferungen
und defekte Waren sind frei an uns zurückzusenden. Die Annahme unfreier Sendungen wird von uns verweigert, oder wir stellen die uns entstanden Kosten dem Absender in Rechnung.		 1. The buyer must inspect the goods immediately upon receipt and must inform us of any defects in writing at the latest within 8 days. Incorrect deliveries and defective goods can be returned free of charge. We shall refuse to accept carriage forward shipments, or we shall charge the sender for the costs incurred.
2. Bei berechtigter, unverzüglicher Mängelrüge nehmen wir mangelhafte Ware zurück und liefern an ihrer Stelle einwandfreie Ware. Wir sind, unter angemessener Wahrung der Interessen des Käufers, berechtigt, nachzubessern. Bei Fehlschlag von Nachbesserung oder Ersatzlieferung kann der Käufer Rückgängigmachung des Vertrages oder Herabsetzung der Vergütung verlangen. 2. In the event of justified defect claims that have been communicated promptly, we shall take back the defective goods and replace them with sound goods. We are entitled to repair the goods taking reasonable account of the buyer's interests. If a repair or replacement delivery fails, the buyer may demand annulment of the contract or a reduction in the price.
3. Solange der Käufer uns nicht Gelegenheit gibt, uns von dem Mangel zu überzeugen, er insbesondere auf Verlangen die beanstandete Ware oder Proben davon nicht zur Verfügung stellt, kann er sich auf Mängel der Ware nicht berufen. 3. The buyer cannot claim goods are defective if we have been prevented from verifying the defect, and in particular if the goods in question or samples thereof are not made available on request.
4. Weitere Ansprüche sind nach Maßgabe des Abschnitts VII ausgeschlossen. Dies gilt insbesondere für Ansprüche auf Ersatz von Schäden, die nicht an der Ware selbst entstanden sind (Mangelfolgeschäden). In Fällen des Fehlens zugesicherter Eigenschaften haften wir nur insoweit, als die Zusicherung den Zweck verfolgte, den Käufer gerade gegen die eingetretenen Schäden abzusichern. 4. Additional claims are excluded pursuant to section VII. This applies especially to compensation claims for damages that have not arisen on the goods themselves (consequential damages). In the absence of guaranteed characteristics, we only accept liability insofar as such guarantee serves the purpose of protecting the buyer against the damages that have occurred.
   
VIII. Garantie VIII. Guarantee
Der Lieferant übernimmt für die gelieferten Waren eine Garantie von 12 Monaten ab Lieferung. Der Lieferant verpflichtet sich, alle Teile, die nachweisbar infolge schlechten Materials, fehlerhafter Konstruktion oder mangelhafter Ausführung schadhaft oder unbrauchbar werden, so rasch wie möglich und nach seiner Wahl auszubessern oder zu ersetzen. Defekte Teile sind dem Lieferanten franko einzusenden. Ersetzte Teile werden Eigentum des Lieferanten. Die Garantie erstreckt sich lediglich auf die Ersatzteile, nicht aber auf die in Zusammenhang damit stehenden Montagearbeiten, Reisekosten und Deplacements. Von der Garantie ausgeschlossen sind alle Schäden, die durch normale Abnützung, unzureichende oder falsche Pflege oder Verwendung falschen Zubehörs entstanden sind. Jede weitere Haftung, insbesondere Schadenersatz oder Vertragsauflösung, übernimmt der Lieferant nicht. Eine Haftung für Folgeschäden ist ausgeschlossen.
Entstandene Schäden durch Nichteinhaltung der Betriebsanleitung gehen zu Lasten des Kunden.
Die Garantie wird nichtig, wenn ohne Einverständnis des Lieferanten, Drittpersonen Reparaturen oder Änderungen vornehmen. Von Dritten ausgeführte Garantiearbeiten werden vom Lieferanten nicht übernommen. Bei Fremdlieferungen übernimmt der Lieferant die Gewähr lediglich im Rahmen der Garantieverpflichtung des Unterlieferanten.		 The supplier accepts a warranty of 12 months from delivery for the supplied goods. The supplier is obligated to repair or replace all parts that become defective or unusable demonstrably as the result of faulty construction or poor design, as quickly as possible and at its own discretion. Defective parts should be returned to the supplier carriage paid. Replaced parts become the property of the supplier. The warranty merely extends to spare parts, but not to the associated fitting work, travel costs and expenses. The warranty excludes all damages that arise due to normal wear and tear, insufficient or improper care or the use of incorrect accessories. The supplier accepts no further liability, particularly to compensation or the cancellation of the contract. No liability is accepted for consequential damages.
The customer is responsible for damages that arise from non-compliance with the user manual.
The warranty is void if third parties undertake repairs or modifications without the supplier's consent. The supplier shall not accept warranty work performed by third parties. In the case of third-party deliveries, the supplier accepts the risk merely within the scope of the sub-supplier's warranty obligation.
   
IX. Allgemeine Haftungsbegrenzung IX. General Liability Exclusion
Soweit in dieser Bedingung nichts anderes geregelt ist, haften wir auf Schadenersatz wegen Verletzung vertraglicher oder außervertraglicher Pflichten nur bei Vorsatz oder grober Fahrlässigkeit. Unsere Haftung umfasst - außer bei Vorsatz - nicht solche Schäden, die bei dem konkreten Geschäft typischerweise nicht erwartet werden konnten oder für die der Käufer versichert ist oder üblicherweise versichert werden kann. Unless otherwise agreed, we only accept liability for damages due to infringement of a contractual or non-contractual obligation in the event of wilful intent or gross negligence. Our liability does not extend – except in cases of wilful intent – to such damages that could not typically have been expected in relation to the specific transaction, or for which the buyer is insured, or can generally be insured.
   
X. Urheberrechte X. Copyrights
1. An Kostenvoranschlägen, Entwürfen, Zeichnungen und anderen Unterlagen behalten wir uns das Eigentums- und Urheberrecht vor; sie dürfen Dritten nur im Einvernehmen mit uns zugänglich gemacht werden. Zu Angeboten gehörige Zeichnungen und andere Unterlagen sind auf Verlangen zurückzugeben. 1. ProLux retains ownership of and the copyright to cost proposals, plans, illustrations and other documents; they may not be shown to third parties without our permission. Illustrations and other documents that are part of offers must be returned on request.
2. Sofern wir Gegenstände nach vom Käufer übergebenen Zeichnungen, Modelle, Muster oder sonstigen Unterlagen geliefert haben, übernimmt dieser die Gewähr dafür, dass Schutzrechte Dritter nicht verletzt werden. Untersagen uns Dritte unter Berufung auf Schutzrechte insbesondere die Herstellung und Lieferung derartiger Gegenstände, sind wir - ohne zur Prüfung der Rechtslage verpflichtet zu sein - berechtigt, insoweit jede weitere Tätigkeit einzustellen und bei Verschulden des Käufers Schadenersatz zu verlangen. Der Käufer verpflichtet sich außerdem, uns von allen damit in Zusammenhang stehenden Ansprüchen Dritter unverzüglich freizustellen. 2. If we have supplied goods based on illustrations, models, samples or other documents provided by the buyer, then the buyer shall be liable for ensuring that no third-party rights have been infringed. If with reference to property rights third parties prohibit us in particular from manufacturing or delivering such goods, we are entitled – without being obligated to investigate the legal basis for such claims – to cease any further activity in this regard and to demand damages in the event that the buyer is culpable. The buyer is also obligated to indemnify us without delay from all claims made by third parties in this regard.
   
XI. Versuchsteile, Formen, Werkzeuge XI. Test Parts, Moulds, Tools
1. Hat der Käufer zur Auftragsdurchführung Teile beizustellen, so sind sie frei Produktionsstätte mit der vereinbarten, andernfalls einer angemessenen Mehrmenge für etwaigen Ausschuss rechtzeitig, unentgeltlich und mangelfrei anzuliefern. Geschieht dies nicht, so gehen hierdurch verursachte Kosten und sonstige Folgen zu seinen Lasten. 1. If the buyer is required to provide parts for the fulfilment of the order, these must be delivered to the production site free of charge and free of defects in the agreed quantity, or with an additional quantity for any scrap. If this does not occur, the buyer shall be billed for any costs incurred and other consequences.
2. Die Anfertigung von Versuchsteilen einschließlich der Kosten für Formen und Werkzeug geht zu Lasten des Käufers. 2. The buyer shall be charged for the production of test parts including the costs for moulds and tools.
3. Eigentumsrechte an Formen, Werkzeugen und sonstigen Vorrichtungen, die zur Herstellung bestellter Teile erforderlich sind, richten sich nach den getroffenen Vereinbarungen. Werden derartige Vorrichtungen vor Erfüllung der vereinbarten Ausbringungsmenge unbrauchbar, so gehen die für den Ersatz erforderliche Kosten zu unseren Lasten. Wir verpflichten uns, derartige Vorrichtungen mindestens zwei Jahre nach dem letzten Einsatz bereitzuhalten.
4. Für vom Käufer beigestellte Werkzeuge, Formen und sonstige Fertigungsvorrichtungen beschränkt sich unsere Haftung auf die Sorgfalt wie in eigener Sache. Kosten für Wartung und Pflege trägt der Käufer.
Unsere Aufbewahrungspflicht erlischt - unabhängig von Eigentumsrechten des Käufers - spätestens zwei Jahre nach der letzten Fertigung aus der Form oder dem Werkzeug.		 3. The title rights to moulds, tools and other equipment required to manufacture the ordered parts shall be governed by the agreements made. We shall bear the necessary costs of replacement if such equipment is unusable before fulfilment of the agreed output quantity. We are obligated to retain such equipment for at least two years following the last occasion of use.
4. Our liability for tools, moulds and other production equipment provided by the buyer is restricted to the same care exercised in handling our own property. The buyer shall bear the costs of servicing and maintenance.
Our obligation to retain said equipment shall lapse – regardless of the buyer's title rights – at the latest two years after the last production using the mould or the tool.
   
XII. Erfüllungsort, Gerichtsstand und anzuwendendes Recht XII. Place of Fulfilment, Jurisdiction and Applicable Law
1. Erfüllungsort für Lieferungen ist unser Betrieb. Gerichtsstand ist, soweit nach § 38 Zivilprozessordnung zulässig, der Sitz unserer Hauptniederlassung. Wir können den Käufer auch an seinem Gerichtsstand verklagen. 1. Our premises are the place of fulfilment for deliveries. The place of jurisdiction, providing this is permissible under § 38 ZPO (German Code of Civil Procedure), is the registered address of our head office. We may also bring a case against the buyer at the buyer's place of jurisdiction.
2. Für alle Rechtsbeziehungen zwischen uns und dem Käufer gilt das Recht der Bundesrepublik Deutschland unter Einfluss der Haager Kaufrechtsübereinkommen. 2. The law of the Federal Republic of Germany applies to all legal relations between ourselves and the buyer pursuant to the Hague Convention on Law Applicable to the International Sale of Goods.
   
XIII. Salvatorische Klausel
Sollten einzelne Bestimmungen dieses Vertrages unwirksam oder undurchführbar sein oder nach Vertragsschluss unwirksam oder undurchführbar werden, so wird dadurch die Wirksamkeit des Vertrages im Übrigen nicht berührt. An die Stelle der unwirksamen oder undurchführbaren Bestimmung soll diejenige wirksame und durchführbare Regelung treten, deren Wirkungen der wirtschaftlichen Zielsetzung möglichst nahe kommen, die die Vertragsparteien mit der unwirksamen beziehungsweise undurchführbaren Bestimmung verfolgt haben. Die vorstehenden Bestimmungen gelten entsprechend für den Fall, dass sich der Vertrag als lückenhaft erweist. §139 BGB gilt als ausgeschlossen.		 XIII. Salutory Clause
If individual provisions of this contract are ineffective or unfeasible, or become ineffective or unfeasible after this contract is concluded, this shall not affect the effectiveness of the remainder of the contract. An effective and feasible provision shall be agreed in place of the ineffective or unfeasible provision, which best matches the commercial intent of the ineffective or unfeasible provision intended by the parties to the contract. The above provisions apply accordingly in the event that a loophole becomes apparent in the contract. §139 BGB (German Civil Code) is deemed to be excluded.
